Corporate Counsel - M&A and Corporate Affairs

AMSURG is seeking a Corporate Counsel specializing in M&A and Corporate Affairs to support their legal team in complex transactions, corporate governance, and compliance. The role is fully remote and involves advising on acquisitions, mergers, joint ventures, and other strategic transactions.

Responsibilities

• Supports growth and facilitates transactions including drafting agreements, leading negotiations, and performing due diligence.
• Advises and collaborates with leadership to structure transactions, identify legal issues, and craft solutions.
• Conducts legal research and analysis, provides recommendations, and prepares written opinions.
• Supports corporate governance processes and maintains governance policies.
• Oversees entity management, structuring, and compliance.
• Provides legal support on commercial finance and tax matters.
• Assists with special projects and acts as liaison with legal experts.
• Demonstrates commitment to corporate compliance and company values.

Requirements

• Licensed Attorney holding a J.D.
• 5+ years’ experience, preferably in healthcare.
• High-level analytical, communication, and interpersonal skills.
• Attention to detail, project management, and organizational skills.
• Ability to work under pressure and manage multiple projects.
